Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your purchase and use of software products made by Caper Films Inc., operating as Spotlab ("we," "us," "our"), including SFXScout and SoundMap ("Software"). By purchasing or using the Software, you agree to these Terms.

If you do not agree, do not use the Software.

2. License

Subject to your compliance with these Terms and payment of the applicable fee, Spotlab grants you a non-exclusive, non-transferable, personal license to install and use the Software on Mac computers that you own or control.

Your license covers:

  • Installation on up to two (2) Mac computers per license (e.g., home and work machine)
  • All updates to the same major version

Your license does not include:

  • Redistributing, sublicensing, or reselling the Software
  • Modifying, reverse engineering, or decompiling the Software
  • Using the Software on behalf of multiple users without an additional license

3. Purchases

All purchases are processed by Paddle (Paddle.com Market Limited), who acts as the Merchant of Record. When you complete a purchase, you are entering into a transaction with Paddle. Spotlab's role is to deliver the license and provide support.

Prices are listed in USD. Paddle handles applicable taxes (VAT, GST, US sales tax) automatically based on your location.


4. Refund Policy

We offer a 30-day money-back guarantee, no questions asked.

If you're not satisfied with the Software within 30 days of purchase, contact us at support@spotlab.studio with your order confirmation and we will issue a full refund. Refunds are processed via Paddle.


5. Updates

We provide updates to the Software at our discretion. You are entitled to receive all updates within the major version you purchased (e.g., all 1.x updates if you purchased version 1). Major version upgrades may be offered at a discounted price for existing customers.

We are not obligated to continue developing or maintaining any specific feature or version.


6. Third-Party Services

SoundMap integrates with third-party services (Anthropic, ElevenLabs). These integrations use API keys that you provide. You are responsible for obtaining and managing your own API keys and for complying with the respective terms of service for those platforms. Spotlab is not liable for the behavior, availability, or pricing of third-party services.


7. Acceptable Use

You agree not to use the Software to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of others
  • Circumvent any content protection or licensing mechanisms
  • Process illegal content

8. Disclaimer of Warranties

The Software is provided "as is," without warranty of any kind, express or implied.

We do not warrant that the Software will be error-free, uninterrupted, or fit for any particular purpose. We make no warranties regarding the accuracy or completeness of AI-generated content produced by SoundMap.


9. Limitation of Liability

To the fullest extent permitted by applicable law, Spotlab's total liability to you for any claim arising from or related to the Software shall not exceed the amount you paid for the Software in the twelve months preceding the claim.

In no event shall Spotlab be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of business, even if advised of the possibility of such damages.


10. Intellectual Property

The Software, including its design, code, and all associated content, is owned by Spotlab and protected by Canadian and international intellectual property laws. These Terms do not transfer any ownership to you.


11. Termination

Your license terminates automatically if you violate these Terms. Upon termination, you must stop using the Software and delete all copies from your devices. Sections 7–12 survive termination.


12. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved in the courts of British Columbia, Canada.


13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on spotlab.studio with an updated effective date. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms.
