End User License Agreement
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. By installing, copying, or using SFXScout or SoundMap ("Software"), you agree to be bound by the terms of this End User License Agreement ("Agreement"). If you do not agree, do not install or use the Software.
1. Licensor
This Agreement is between you ("Licensee") and Spotlab ("Licensor"), a software studio based in British Columbia, Canada, operating at spotlab.studio.
2. License Grant
Subject to the terms of this Agreement and payment of the applicable license fee, Spotlab grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:
- Install and use the Software on up to two (2) Apple Mac computers that you personally own or control
- Make a single backup copy for archival purposes only
This license is for your personal, professional use only. It does not extend to other users, employees, or contractors without the purchase of additional licenses.
3. License Restrictions
You may not:
- Redistribute or share the Software, your license key, or installer files with any other person
- Reverse engineer, decompile, or disassemble the Software or attempt to derive its source code
- Modify or create derivative works based on the Software
- Rent, lease, lend, or sublicense the Software
- Transfer your license to another person without prior written consent from Spotlab
- Remove or alter any proprietary notices, labels, or marks within the Software
- Use the Software in any manner that violates applicable laws or regulations
4. License Key
Upon purchase, you will receive a license key. This key is personal to you. You are responsible for keeping it confidential. Do not share your license key. Spotlab reserves the right to deactivate keys found to be shared or distributed without authorization.
Each license permits activation on up to two (2) Macs simultaneously. If you need to transfer a license to a new machine, contact support at support@spotlab.studio.
5. Ownership
The Software is licensed, not sold. Spotlab retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights.
6. Third-Party Components
The Software may include open-source components. Those components are governed by their respective licenses, which are included within the application bundle where required.
SoundMap integrates with third-party AI services (Anthropic, ElevenLabs) using API keys that you provide. Your use of those services is subject to their own terms of service and is independent of this Agreement.
7. Updates and Upgrades
Spotlab may release updates to the Software at its discretion. Updates to the same major version (e.g., 1.0 → 1.x) are provided at no additional cost to active licensees. Major version upgrades (e.g., 1.x → 2.0) may require a separate purchase, offered at a discount to existing licensees.
Spotlab is not obligated to provide updates, new features, or continued support for any version of the Software.
8. No Warranties
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Spotlab does not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements. AI-generated content produced by SoundMap is provided without warranty as to accuracy, completeness, or fitness for any professional purpose.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
Spotlab's total cumulative liability to you for any and all claims arising from or related to this Agreement or the Software shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.
In no event shall Spotlab be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of data, loss of revenue, loss of profits, or loss of business opportunities — even if advised of the possibility of such damages.
10. Termination
This Agreement is effective until terminated. It terminates automatically, without notice, if you breach any term. Upon termination:
- Your right to use the Software immediately ceases
- You must delete all copies of the Software from your devices
- Sections 5, 8, 9, 11, and 12 survive termination
Spotlab may also terminate this Agreement with 30 days' written notice for any reason.
11. Governing Law
This Agreement is governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. If you are located in a jurisdiction where this governing law clause is not enforceable, local mandatory laws shall apply only to the extent required.
12. Entire Agreement
This Agreement, together with Spotlab's Terms of Service and Privacy Policy (available at spotlab.studio), constitutes the entire agreement between you and Spotlab regarding the Software and supersedes all prior agreements, representations, or understandings.
If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force.
